1. Acceptance of Terms

Welcome to urBOT. These Terms and Conditions ("Terms", "Terms and Conditions") govern your use of the urBOT mobile application (the "Service", "App") operated by DODO INTERACTIVE LLP ("us", "we", or "our").

By downloading, installing, accessing, or using urBOT, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not use our Service.

Important: These Terms constitute a legally binding agreement between you and urBOT. Please read them carefully before using the Service.

2. Description of Service

2.1 What urBOT Does

urBOT is a mobile application that provides a unified interface for connecting to and interacting with artificial intelligence (AI) models and services deployed across various cloud platforms, including but not limited to:

  • Azure OpenAI Service
  • AWS Bedrock and AWS SageMaker
  • Google Cloud Vertex AI
  • OpenAI API
  • Any custom or third-party OpenAI-compatible API endpoints

2.2 Nature of Service

urBOT is a client application only. We provide:

  • An interface to configure and manage connections to third-party AI services
  • Tools to organize and manage conversations with AI models
  • Local storage of your conversation history and configuration data
  • A mobile-optimized user experience for AI interaction

urBOT does NOT provide:

  • AI models or AI processing capabilities
  • API keys or access credentials for third-party services
  • Server-side data storage or cloud backup
  • Guaranteed availability or uptime of third-party AI services

3. User Responsibilities

3.1 API Keys and Credentials

You are solely responsible for:

  • Obtaining your own API keys and authentication credentials from AI service providers
  • Ensuring you have proper authorization to use those API keys
  • Maintaining the confidentiality and security of your API keys
  • All activities that occur using your API keys
  • Monitoring and managing your API usage and associated costs

Warning: Sharing or exposing your API keys may result in unauthorized usage and charges from your AI service provider. urBOT is not responsible for any unauthorized use of your API keys.

3.2 Compliance with Third-Party Terms

When using urBOT to access third-party AI services, you agree to:

  • Comply with the terms of service, acceptable use policies, and other agreements of each AI provider you connect to
  • Understand and accept that your use of those services is governed by their terms, not solely by these Terms
  • Be responsible for any violations of third-party terms that occur through your use of urBOT

3.3 Acceptable Use

You agree NOT to use urBOT to:

  • Engage in any illegal activities or violate any applicable laws or regulations
  • Generate, distribute, or request content that is harmful, abusive, harassing, defamatory, or obscene
  • Violate the intellectual property rights of others
  • Attempt to gain unauthorized access to the App or related systems
  • Reverse engineer, decompile, or disassemble the App (except as permitted by law)
  • Use the App to send spam, phishing attempts, or malicious content
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the App or servers or networks connected to the App
  • Use the App in any way that could harm minors
  • Circumvent any content filtering or safety features of AI providers

3.4 Age Requirements

You must be at least 13 years old to use urBOT. If you are between 13 and 18 years old (or the age of legal majority in your jurisdiction), you may only use urBOT with the consent and supervision of a parent or legal guardian.

4. API Costs and Billing

4.1 No urBOT Subscription Fees

urBOT operates on a "Bring Your Own Key" (BYOK) model. There are no subscription fees, licensing fees, or charges from urBOT for using the App.

4.2 Third-Party API Costs

You acknowledge and agree that:

  • Using AI services through urBOT will incur charges from your AI service provider
  • You are solely responsible for all costs and fees charged by third-party AI providers
  • urBOT has no control over third-party pricing, billing, or rate limits
  • urBOT is not responsible for any unexpected charges, overages, or billing issues from AI providers
  • You should monitor your usage and set appropriate limits with your AI provider

4.3 Rate Limits and Quotas

Third-party AI services may impose rate limits, usage quotas, or capacity restrictions. urBOT does not control these limits and is not responsible if your requests are throttled, rejected, or result in additional charges.

5. Intellectual Property Rights

5.1 urBOT Ownership

The urBOT application, including its design, code, graphics, user interface, and documentation, is owned by DODO INTERACTIVE LLP and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use urBOT for your personal or internal business purposes, subject to these Terms.

5.2 Your Content

You retain all ownership rights to:

  • The messages and prompts you send to AI models
  • Your conversation history and data
  • Your API keys and configuration data

Because all your content is stored locally on your device and never transmitted to urBOT servers, we claim no ownership or rights to your content.

5.3 AI-Generated Content

Responses generated by third-party AI models may be subject to:

  • The intellectual property policies of the AI service provider
  • Limitations on commercial use or redistribution
  • Requirements for attribution or disclosure

You are responsible for understanding and complying with the terms governing AI-generated content from the providers you use.

5.4 Trademarks

urBOT and related logos are trademarks or registered trademarks of DODO INTERACTIVE LLP. All other trademarks mentioned in the App (Azure, AWS, Google Cloud, OpenAI, etc.) are the property of their respective owners.

6. Privacy and Data Protection

Your privacy is important to us. Our data handling practices are detailed in our Privacy Policy, which is incorporated into these Terms by reference.

Key points:

  • urBOT stores all data locally on your device
  • We do not collect, transmit, or store your API keys, messages, or personal data on our servers
  • Your data is transmitted directly to third-party AI providers you configure
  • You are subject to the privacy policies of those third-party providers

7. Disclaimers and Warranties

7.1 "AS IS" Service

IMPORTANT DISCLAIMER:

urBOT IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 No Guarantee of Accuracy

We make no representations or warranties regarding:

  • The accuracy, reliability, or completeness of AI-generated responses
  • The suitability of AI outputs for any particular purpose
  • The availability, uptime, or performance of third-party AI services
  • The absence of errors, bugs, or interruptions in the App

7.3 Third-Party Services

urBOT integrates with third-party AI services that are beyond our control. We do not warrant or endorse:

  • The quality, accuracy, or appropriateness of AI-generated content
  • The availability or continued operation of third-party services
  • The security or privacy practices of third-party providers
  • Compliance of third-party services with applicable laws in your jurisdiction

7.4 No Professional Advice

AI-generated responses obtained through urBOT do not constitute professional advice (legal, medical, financial, or otherwise). You should not rely on AI outputs as a substitute for professional consultation.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

8.1 Exclusion of Damages

IN NO EVENT SHALL DODO INTERACTIVE LLP, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUE, DATA, OR USE
  • ANY DAMAGE RESULTING FROM:
    • Your use of or inability to use urBOT
    • Unauthorized access to your device or data
    • AI-generated content or responses
    • Actions or inactions of third-party AI providers
    • Costs incurred from third-party API usage
    • Data loss or corruption
    • Security breaches at third-party providers

8.2 Maximum Liability

Our total liability to you for any claims arising from or related to urBOT shall not exceed $100 USD or the amount you paid to us in the past 12 months (whichever is greater). Since urBOT is free, this typically means $100 USD maximum.

8.3 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless DODO INTERACTIVE LLP, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use or misuse of urBOT
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property rights or privacy rights
  • Your violation of third-party AI service provider terms
  • Content you generate, transmit, or share using urBOT
  • Unauthorized use of your API keys by third parties

10. Termination

10.1 Termination by You

You may stop using urBOT at any time by:

  • Uninstalling the App from your device
  • Deleting your locally stored data
  • Revoking API keys used with the App

10.2 Termination by Us

We reserve the right to:

  • Discontinue urBOT at any time without prior notice
  • Refuse service to anyone for any reason at any time
  • Modify or limit features of the App

10.3 Effect of Termination

Upon termination:

  • Your license to use urBOT immediately ends
  • You must cease all use of the App
  • All locally stored data remains on your device (we have no server-side data to delete)
  • Sections of these Terms that by their nature should survive termination will survive (including provisions on liability, indemnification, and dispute resolution)

11. Updates and Modifications

11.1 App Updates

We may release updates, upgrades, or new versions of urBOT from time to time. These updates may:

  • Add, modify, or remove features
  • Fix bugs or improve performance
  • Change the user interface or user experience
  • Be mandatory for continued use of the App

11.2 Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date at the top of this document
  • Material changes will be communicated through the App or via notification
  • Continued use of urBOT after changes constitutes acceptance of the modified Terms
  • If you do not agree with the changes, you must stop using urBOT

12. Third-Party Services and Links

urBOT may contain links to third-party websites, services, or resources, including:

  • AI provider documentation and consoles
  • Support resources and help pages
  • Third-party tools or integrations

We are not responsible for:

  • The content, accuracy, or availability of third-party resources
  • The privacy practices or terms of service of third parties
  • Any damages or losses resulting from your use of third-party services

Your use of third-party services is at your own risk and subject to their terms and conditions.

13. Export Compliance

urBOT may be subject to export control laws and regulations. You agree that you will not:

  • Export, re-export, or transfer urBOT to any prohibited country or jurisdiction
  • Use urBOT in violation of any export laws or regulations
  • Provide urBOT to any person or entity on any government restricted parties list

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

14.2 Jurisdiction

You agree that any legal action or proceeding arising from or relating to these Terms or your use of urBOT shall be brought exclusively in the courts located in India. You consent to the personal jurisdiction of such courts.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of these Terms must be in writing and signed by an authorized representative of DODO INTERACTIVE LLP.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DODO INTERACTIVE LLP regarding urBOT and supersede all prior or contemporaneous communications, proposals, and agreements (whether oral, written, or electronic).

18. Assignment

You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent. Any attempted assignment in violation of this section is void.

19. Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

21. Acknowledgment and Acceptance

BY DOWNLOADING, INSTALLING, OR USING urBOT, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS AND CONDITIONS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM.

IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE urBOT.
